The General Meeting is the Company’s decision-making body, at which the shareholders exercise their voting rights. The annual general meetings are usually convened by the Board of Directors.
The Annual General Meeting shall be held annually by the end of June. An Extraordinary General Meeting can be held when requested in writing by the Company’s Auditor or by shareholders representing at least one-tenth of all Company shares.
The Annual General Meeting forms decisions on matters including but not limited to:
- Changes to the Articles of Association
- The adoption of financial statements
- Confirmation of the income statement and balance sheet
- Any measures called for by the profits or losses shown on the balance sheet deciding upon the granting of discharge from liability to the Board members and the Managing Director
- The number of board members and auditors
- Electing board members and auditors
Invitation to the General Meeting
The shareholders of the Company are invited to the General Meeting by publishing the invitation at Company’s website as decided by the Board of Directors. According to the articles of association, the invitations shall be delivered to shareholders by publishing them no earlier than three (3) months and no later than three (3) weeks prior to a meeting and at least nine (9) days prior to the record date set for the meeting. To participate in a General Meeting, a shareholder must register with the Company by the date specified in the notice, which shall not be earlier than ten (10) days before the General Meeting of Shareholders.
The Rights of Shareholders
All Admicom Oyj shareholders have the right to exercise their decision-making power at General Meetings and attend meetings in person or through an authorised representative. Each share entitles the holder to one vote.
The Minutes of a General Meeting
The minutes of the General Meeting shall be published on the company’s website no later than two (2) weeks after the meeting.
